Terms of use and sale

These Terms of Use and Sale govern the Wenote.pro marketing website available at wenote.pro, the SaaS application available at app.wenote.pro, and any related subscription, order, or account.

By using the website or application, creating an account, or confirming an order, you agree to these terms. Specific rules applicable only to consumers are identified where relevant.

Scope

Wenote.pro is a collaborative SaaS service dedicated to project review, validation, sharing, tracking, and related workflow management.

These terms apply both to visitors of the marketing website and to customers or users of the application, whether acting for business purposes or, where accepted, as consumers.

Accounts and eligibility

  • You must provide accurate, up-to-date information when creating an account or placing an order.
  • You are responsible for the confidentiality of your credentials and for activities performed from your account.
  • If you create an account on behalf of an organization, you confirm that you are authorized to bind that organization.
  • Access may require a compatible device, internet connection, and email address.

Plans, subscriptions, and pricing

  • Wenote.pro may offer free, trial, monthly, or annual plans. Features, quotas, storage limits, and prices are those displayed on the website, checkout, or billing interface at the time of order.
  • Paid subscriptions are contracted for the selected billing period and, unless otherwise stated at checkout, renew automatically for successive periods of the same duration until cancelled.
  • Upgrades, downgrades, or cancellations may be made from the billing interface or by contacting support, subject to the technical and billing rules displayed at the time of change.
  • Any taxes, including VAT when applicable, are handled according to the billing flow used for the order.

Payment processing

Subscription payments are processed via Lemon Squeezy, a Stripe group company, which may act as merchant of record depending on the checkout flow used. In that role, Lemon Squeezy may issue invoices, collect applicable taxes, process renewals, and handle part of the refund or dispute workflow.

By subscribing, the customer authorizes the payment method selected at checkout to be charged for the due amounts. In case of failed, rejected, or disputed payment, access to paid features may be suspended or limited until the situation is resolved.

Consumers, withdrawal, and refunds

  • Unless mandatory law provides otherwise, any billing period already started remains due and is not refunded, except in the event of a commercial gesture explicitly granted or a legal right that cannot be waived.
  • If a consumer subscribes online, consumer protection rules may apply, including the 14-day withdrawal right under French law.
  • Where immediate access to the digital service is requested before the end of the withdrawal period, the consumer may be asked to expressly consent to immediate performance and acknowledge the resulting loss or limitation of the withdrawal right where the law allows it.

Legal guarantees for consumers

  • For digital services supplied continuously as part of a subscription, consumers benefit from the legal guarantee of conformity throughout the contractual period for which the digital service is supplied.
  • During that period, the consumer only needs to establish the existence of the lack of conformity and does not need to prove the date on which it appeared.
  • The legal guarantee of conformity includes the obligation to provide all updates necessary to maintain conformity and to bring the digital service into conformity without undue delay, free of charge, and without major inconvenience for the consumer.
  • If conformity is refused, impossible, unjustifiably delayed, remains unsuccessful, or if the lack of conformity is sufficiently serious, the consumer may obtain a price reduction or terminate the contract and receive a refund in exchange for giving up the non-conforming digital service.
  • Consumers also benefit from the legal warranty against hidden defects under articles 1641 to 1649 of the French Civil Code for two years from discovery of the defect.
  • These rights arise in particular from articles L. 224-25-12 to L. 224-25-31 and the annexes to articles D. 211-3 and D. 211-4 of the French Consumer Code.

Acceptable use and customer content

  • Do not use the website or application for unlawful, fraudulent, abusive, defamatory, infringing, or security-threatening purposes.
  • Do not attempt to access another user's account, bypass permissions, reverse engineer the service, overload the infrastructure, or interfere with service availability.
  • Customers remain responsible for the legality, rights clearance, and appropriateness of files, comments, annotations, participant lists, and any content uploaded or shared through the service.
  • We may remove or suspend content or access where necessary to protect the service, comply with the law, or respond to abuse or third-party claims.

License and intellectual property

The website, application, software elements, visual identity, documentation, and related content remain our exclusive property or that of our licensors.

Subject to compliance with these terms and payment of applicable fees, we grant the customer a limited, non-exclusive, non-transferable right to access and use the service for its internal needs during the active subscription period.

Availability, support, and changes

We make reasonable efforts to keep the service available and secure, but we do not guarantee uninterrupted availability. Maintenance, updates, incidents, third-party outages, and force majeure may temporarily affect access.

We may modify, improve, or adapt the website, application, plans, and features over time, provided that such changes do not deprive customers of the essential service promised for the paid period already ordered.

Suspension and termination

We may suspend or terminate all or part of an account or subscription in the event of non-payment, abuse, serious breach of these terms, security risk, fraudulent use, or legal obligation.

The customer may stop using the free offer at any time and may cancel a paid subscription before renewal according to the cancellation tools or support process made available.

For subscriptions that can be concluded online by consumers, a free online cancellation function is made available from the same service environment, account area, or billing portal. After the cancellation request is sent, receipt must be confirmed and the consumer must be informed, within a reasonable time, of the effective date and consequences of termination.

Liability

To the extent permitted by law, we are not liable for indirect losses, loss of profit, loss of opportunity, loss of business, or consequences resulting from customer misuse, third-party services, or customer content.

Nothing in these terms excludes liability that cannot legally be excluded under applicable law.

Applicable law and disputes

These terms are governed by French law. Business customers agree that disputes fall under the jurisdiction of the competent courts within the area of our registered office, subject to mandatory legal rules.

If consumer subscriptions are accepted, mandatory consumer protection rules apply. Before going to court, any complaint should first be sent to us in writing.
